    For the purposes of these general terms and conditions, the terms beginning with a capital letter have the meanings assigned to them in Article 13, "Definitions".

    These general terms and conditions apply to all Products sold by the Company through the Website and delivered within the Netherlands. By ticking the acceptance checkbox prior to placing an Order, the Customer accepts these general terms and conditions unconditionally. Together with the Order Confirmation, they form the Agreement between the Company and the Customer for the delivery of Products in the Netherlands. Any other general conditions are excluded.

    The Agreement may not be amended unless the Company agrees in writing or by email. All information in advertisements, brochures, and other documents, whether provided by Company representatives or published in any form (including online), constitutes an invitation to negotiate and does not carry contractual weight.


    1. Pre-Contractual Information

    The Customer is informed that all Products offered for sale on the Website are new and comply with applicable European legislation and standards. The Company does not sell second-hand Products on the Website unless clearly stated.
    By accepting these terms, the Customer acknowledges: 
    They have full legal capacity or have permission from an authorized person to place an Order.
    They have read and understood these terms and the essential characteristics of the Products as listed on their respective technical sheets.
    The Company notes that product photos are representative and not contractually binding. For exact details, the Customer should consult an advisor of their choice or contact the Company for clarification.


    2. Orders

    2.1 Placing an OrderOrders can only be placed via the Website or by phone. The Website is secure. Incorrect or incomplete details (especially address) may cause delivery errors, for which the Company is not liable. The Customer must verify their selected Products, quantity, and delivery address before confirming.
    2.2 Order ConfirmationIf accepted, the Company will confirm the Order via email. The Company reserves the right to refuse any Order for legitimate legal reasons.
    2.3.1 Cancellation by the CompanyThe Company may cancel an Order at any time due to: Unavailability of the Product or Service, Non-payment within the permitted period (see 4.1), Force majeure (e.g., supplier delays or delivery errors).
    2.3.2 Cancellation by the CustomerThe Customer may cancel the Order in cases of:

    Delivery delay (5.2),
    Transport damage or incorrect quantity (5.5),
    Non-conformity of delivered Product(s) (5.6),
    Exercising the right of withdrawal (6.1),
    Ordering error.

    2.4 Consequences of CancellationRefunds will be made to the Customer’s bank or PayPal account within thirty (30) days. Return shipping costs are borne by the Customer unless otherwise stated in Article 6.


    3. Price and Payment

    3.1 Catalog PricesProduct prices are freely determined by the Company and may change at any time. The price in effect at the time of the Order applies. Prices are in Euros and include all taxes but exclude shipping.
    3.2 InvoicesThe total Order price (including delivery costs) is shown on the invoice, which is made available via the Website and the Customer's account.


    4. Payment
    4.1 Payment MethodsPayments may be made via bank card (VISA, Mastercard), PayPal, bank transfer, or iDEAL. Payments are processed securely by mollie.com. If paying by transfer, delivery only occurs after payment receipt.
    To prevent fraud, the Company may request ID and proof of address. Orders may be reviewed by a third party. To avoid delays, Customers should provide email and phone number. Additional information may be requested to validate the Order. If payment risk is suspected, the Company may cancel the Order.


    5. Delivery
    5.1 Delivery AddressProducts are only delivered to the address provided in the Order. Orders must be placed on the Website of the delivery country. In the Netherlands, this is porza.nl. Errors in address entry are the Customer’s responsibility.
    5.2 Delivery TimeDelivery is usually within 1–3 business days. Delays may occur in remote areas. The delivery period depends on:
    Preparation time (24–48 hours),
    Shipping time (24–48 hours).
    Delivery and shipping times are indicative. The Customer will be informed by email in case of exceptional delay.

    5.3 Partial DeliveryUnavailable Products will not be delivered. The Company will refund those items.
    5.4 Transfer of RiskRisk passes to the Customer upon delivery.
    5.5 Receipt of ProductsDelivery is confirmed with a signed paper or electronic delivery note. If there is damage, an incorrect product, or prior reported order error, the Customer must note this on the delivery note and refuse the shipment. The Products must be inspected upon receipt. If no reservations are made, the Company will not accept later claims except for hidden defects (Article 8). Unjustified refusal of Products may incur a fee of €29 per item.
    5.6 ComplaintsComplaints must be submitted within 14 days by: Email, Phone (085-4011901), Customer account at www.porza.nl/account/. Required information: order number, delivered and received references and quantities, and the reason. If validated, the Order is cancelled and the process under Articles 2.4 and 6.2 applies.

    6. Right of Withdrawal
    6.1 Consumer Right of WithdrawalNon-professional consumers may return Products or cancel Services within 14 days after delivery. Notification must be made by:
    Email,  Phone, Customer account. A return fee of €6.95 will be deducted. Refunds are issued within 30 days, provided Products are returned complete, unused, and in original condition.

    6.2 Returns for Non-ConformityWith prior Company approval (see 5.6), Products may be returned if non-conforming. Return shipping costs are covered by the Company if the claim is validated.
    6.3 Returns Due to Customer ErrorIn case of ordering error, the Customer must contact the Company within 1 hour of receiving the Order Confirmation. If already dispatched, the delivery must be refused. Refunds are only issued after inspection. Packaging must be intact and unmarked. Incomplete or damaged items may incur up to 70% deduction. An explanation will be provided by email.
    6.4 Return ProcedureThe Customer must: Contact the Company for a return label, Repack the product in original and protective packaging, Arrange pickup with the Courier, Hand both product and return label to the Courier. Non-compliance may result in refusal of the return.

    7. Warranty
    7.1 GeneralProducts comply with EU regulations. Installation must be done by qualified personnel. The Company is not liable for improper installation or use.
    7.2 Manufacturer WarrantySome Products carry a 1-year factory warranty. Repair shipping costs are borne by the Customer.
    7.3 Hidden DefectsIn accordance with Benelux law, Customers are entitled to a warranty for hidden defects. Proof must be provided via expert inspection. If confirmed, return shipping and expert fees are reimbursed upon receipt of an invoice.
    7.4 Warranty ExclusionsWarranty excludes: Consumables (bulbs, batteries, filters, etc.), Misuse or unintended use, External causes.

    8. Liability
    8.1 Non-Professional ConsumersNothing in these terms limits legal consumer rights.
    8.2 Professional ConsumersOnly explicitly mentioned obligations apply. The Company excludes all implied warranties. It is not responsible for the suitability of Products for specific purposes.
    8.3 Loss of IncomeThe Company is not liable for lost income, contracts, data, or indirect damages. Liability is limited to the amount paid for the relevant Product(s) or Service(s).

    9. Force Majeure
    Events such as war, strike, natural disasters, or others recognized under Dutch law as unforeseeable and external relieve the Company of its obligations.

    10. Governing Law and Jurisdiction
    These terms are governed by Dutch law. Disputes are handled: By Dutch civil courts for non-traders, By the Amsterdam Commercial Court for traders.

    11. General Provisions
    11.1 Entire AgreementThese terms represent the entire agreement and supersede any prior agreements.
    11.2 No WaiverFailure to enforce a term does not waive the right to enforce it later.
    11.3 SeverabilityInvalid terms do not affect the enforceability of the remaining terms.
    11.4 AmendmentsAny changes must be made in writing and agreed upon by both Parties.

    12. Data Protection
    By placing an Order, the Customer consents to the processing of their personal data to fulfill the Order. Data may be shared with delivery and payment service providers. The Customer consents to receive promotional emails. Email addresses are not shared with third parties and are used only for communication between the Company and Customer. Newsletters may be unsubscribed via a link or the Customer account.

    13. Definitions
    Company: PORZA.NL B.V., registered at KvK Venlo 62518232, VAT NL854849373B01
    Order: An online order submitted by the Customer via the Website. Customer: A professional or non-professional buyer of Products or Services. Order Confirmation: Notification that the Order has been accepted. Non-Professional Consumer: A buyer acting outside their professional activity. Agreement: These terms and the Order Confirmation. Invoice: The document showing the amount due. Business Day: Weekdays excluding Saturdays, Sundays, or Dutch public holidays. Order Number: The number assigned by the Company. Party / Parties: The Company and/or the Customer. Price: Amount due for Products or Services. Products: Goods offered via the Website. Website: porza.nl, porza.de, porza.fr, porza.es, porza.pl, serving customers in Poland, Germany, Netherlands, France, Belgium. Courier: PostNL, UPS, FedEx, GLS or similar, responsible for delivery.
